Affiliate Program Terms & Conditions

Welcome to the 41.22 Inc. Affiliate Program (“Program”). By joining and participating in our Program, you agree to abide by the following terms and conditions (“Terms”). Please read them carefully.

1. Eligibility

To join our Affiliate Program, you must:

  • Be at least 18 years old.
  • Own and operate a valid website, social media account, or other promotional channel.
  • Provide accurate and up-to-date information during registration.
  • Continue to promote 41.22 Inc. products (see Termination).

We reserve the right to approve or reject any application at our sole discretion.

2. Affiliate Links and Promotion

  • Once approved, you will receive access to your own dashboard where you can generate your own unique tracking links and promotional assets. Your dashboard will also provide you with information such as clicks, conversions and earnings.
  • You may promote 41.22 Inc. products via blogs, websites, social media, email (must comply with CAN-SPAM laws), or other approved digital platforms.

Required disclosure. You must clearly and conspicuously disclose that you earn a commission whenever you post an affiliate link or discount code, in a way a reasonable person will notice before they act — for example “#ad”, “paid partnership”, or a plain statement that you earn a commission. The disclosure must appear in the post itself, not only in a profile, a bio, or behind a “more” link. This is required by the U.S. Federal Trade Commission’s Endorsement Guides. Failure to disclose is grounds for immediate suspension.

Self-referrals. Commissions are not payable on your own purchases, or on purchases by your household or your business, whether made through your link or your code.

Prohibited practices include:

  • Posting links on coupon/discount sites.
  • Bidding on paid ads using 41.22 Inc. brand names or domain URLs.
  • Making false claims or misrepresenting 41.22 Inc. products or services.

3. Commission and Payouts

  • You’ll earn a commission on qualifying sales made through your affiliate links.
  • Commission rate. The standard commission is 10% of the qualifying order total, unless a different rate is agreed with you in writing.
  • Your balance, both cleared and pending, is visible in your affiliate dashboard. Where the dashboard and these Terms differ, these Terms govern.
  • Payouts are made monthly via Venmo or Zelle, once your cleared balance reaches a minimum of $100.00 USD. Commissions must clear before they can be paid. A commission clears once the referred order has shipped and its return window has passed, which can take up to 30 days from the order date. Commissions still within that period appear as pending in your dashboard and are included in the first monthly payout after they clear.
  • Payout timing. Payouts are issued within the first ten business days of each month, covering balances that had cleared as of the last day of the previous month.
  • Tax documentation. If you are a U.S. person, you must provide a completed IRS Form W-9 before we can issue payouts once your total payments for a calendar year reach the IRS reporting threshold then in effect. Affiliates outside the U.S. must provide the applicable IRS Form W-8. We may withhold payment until the required form is received, and we will issue an IRS Form 1099-NEC where the law requires it. You are responsible for any taxes due on amounts you earn. Nothing in these Terms creates an employment relationship, partnership, or joint venture between you and 41.22 Inc.
  • Payment holds. We may place a payout on hold for up to 60 days where we reasonably suspect fraud, coupon abuse, or self-referral. We will tell you why, and release the payment if the concern is resolved.

Commissions will not be paid on:

  • Orders that are canceled by the customer.
  • Returned products.
  • Fraudulent or suspicious transactions.

4. Tracking and Attribution

  • Sales are tracked via browser cookies with a duration of 60 days.
  • If a customer disables cookies, uses a different device, or another affiliate’s link, the sale may not be credited to you.

5. Customer Cancellations and Returns

  • If a customer cancels their order or returns a product, any pending commission tied to that order will be voided.
  • If a payout has already been issued for a later-returned order, that amount will be deducted from your future earnings. We will only seek repayment from you directly where the order was connected to fraud or abuse of the Program.

6. Brand Guidelines

  • Affiliates must use only approved logos, product images, and marketing materials.
  • You may not present yourself as an employee or official representative of 41.22 Inc.

7. Termination

41.22 Inc. may suspend or terminate your account at any time for:

  • Breaching these Terms.
  • Engaging in deceptive or unethical practices.
  • Six consecutive months with no referred sales.

You may terminate your participation by notifying us in writing at [email protected].

Earned commissions on termination. If your participation ends for any reason other than fraud or a serious breach of these Terms, any commissions that have already cleared will be paid in the next scheduled payout, even if your balance is below the usual $100 minimum. Where an account is terminated for fraud or a serious breach, commissions connected to that conduct may be withheld.

8. Indemnification

You agree to indemnify and hold harmless 41.22 Inc., its officers and employees, from any claim, loss, liability or expense (including reasonable legal fees) arising out of your promotion of our products, the content you publish, or your breach of these Terms.

9. Limitation of Liability

41.22 Inc. is not liable for any indirect, incidental, or consequential damages arising from your involvement in the Program.

10. Modifications

We may update these Terms. We will email affiliates at least 14 days before any change that reduces commission rates, raises the payout minimum, or shortens the cookie window. Such changes apply to sales made after the change takes effect and are never applied retroactively. Other changes take effect when posted, and it remains your responsibility to review these Terms periodically.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Riverside County, California.
